General Terms and Conditions

1. General Terms of Use

These General Terms and Conditions ("GTC") are established by Manitu Solar Kft. ("Company") for the use of the webshop ("Webshop") accessible at shop.manitusolar.com("Website").

The Webshop operates exclusively as a wholesale platform. Orders may only be placed by entities involved in the installation of solar or heat pump systems whose registered activities include electrical installation or trade.

The Company does not sell to individuals outside of their professional or business activities. Therefore, consumer protection laws do not apply.

3. Definitions

• Product: items offered for sale on the Website
• Parties: the Company and the Customer
• Manufacturer: the producer or importer
• Contract: sales agreement between the Company and the Customer
• Customer: buyer submitting a purchase order
• Purchase Price: payment due for the Product

4. Scope & Acceptance of GTC

These GTC define the rights and obligations of the Parties. Customers must review and accept them before registration and order confirmation. Contracts are governed by Hungarian law and are not archived in written form.

5. Using the Webshop & Contract Formation

5.1 Product Selection

Customers add Products to a virtual cart. Total amount is viewable before checkout.

5.2 Placing Orders

Clicking "Order" constitutes a binding offer.

5.3 Order Processing

Two steps: automatic acknowledgment and manual confirmation with quotation. Contract forms upon return of the signed order form or payment.

5.4 Modifications

The Company may adjust prices due to supplier changes or FX fluctuations with Customer approval.

6. Prices & Payment Terms

Prices are in HUF or EUR, exclusive of VAT. Only confirmed quotes are binding. Standard terms: 100% for stocked, 25% deposit for non-stocked items. Full payment is required before ownership transfers.

For Hungarian entities, a value added tax (VAT) of 27% shall apply. For entities established outside Hungary but within the European Union and holding a valid VAT number, the applicable VAT rate is 0%.

7. Order Fulfillment

Orders must be collected within 14 days of confirmation or arrival. Early pickup possible with conditions. Storage is free for 14 days, then charged at HUF 1,300/m²/day. Non-collection may lead to cancellation and penalties.

8. Return Policy

Returns are subject to Company approval. Restocking fees: 15% for accessories, 10% for panels/inverters. Products must be unused and in original packaging. Unauthorized returns may be refused.

9. Warranty & Compliance

Warranty is provided according to manufacturer terms. The Company provides no additional warranty. The Customer is responsible for compliance and system design.

10. Termination

Stocked items may be canceled with a 10% fee. Cancellation of custom orders depends on supplier acceptance.

11. Data Processing

The Customer consents to data processing for business purposes under applicable laws. Overdue accounts may be reported to partners.

12. Miscellaneous

Language: English. GTC changes will be notified 15 days in advance. Silence equals acceptance.
